Ces Conditions d’utilisation constituent un accord contraignant entre vous et Diali AI LLC, régissant votre utilisation de la plateforme Diali sur diali.ai et des services associés.
What Diali is
Diali is a managed hosting platform for personal AI assistants ("Assistants"). You configure an Assistant (name, personality, language, timezone, use-cases, size, add-ons) and connect it to one or more messaging channels. Diali provisions and operates the underlying infrastructure so your Assistant runs and stays updated.
Channels. Supported channels currently include Telegram, WhatsApp, Discord, Slack, Mattermost, and Matrix, plus SMS and voice calls through a carrier account you connect (Twilio, Telnyx, or Plivo; voice calls are available on OpenClaw Assistants).
These Terms of Service are a binding agreement between you and Diali AI LLC, a Wyoming, USA limited liability company. By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and our Refund and Cancellation Policy. If you do not agree, do not use the Service.
Eligibility & accounts
Age. You must be at least 16 years old to use the Service. Because the Service is a paid subscription and entering it forms a binding contract, if you are under the age of majority in your jurisdiction (typically 18) you may use the Service only if your parent or legal guardian agrees to these Terms on your behalf and provides the payment method; by subscribing, you represent that this is the case.
One account per person. Accounts are for a single individual. There are no teams, shared seats, or role-based access in the current Service. You are responsible for keeping your credentials secure and for all activity under your account; notify us at support@diali.ai of any unauthorised use. You agree to provide accurate account and billing information and keep it current.
Your keys, connected accounts & third parties
Bring-your-own key (BYOK). If you choose BYOK, you supply your own AI-provider API keys. You are responsible for your AI-provider account, its costs, its usage limits, and compliance with that provider's terms. We store those keys encrypted and give your running Assistant a temporary stand-in token rather than the key itself.
Managed mode. If you choose Diali AI, we use our provider accounts and keys. You do not receive, and may not extract, resell, or share, our provider credentials or the virtual access key issued to your Assistant.
Connected accounts (integrations). You may connect third-party accounts (such as email, calendar, notes, or task tools) so your Assistant can act in them on your behalf (see Integrations & connected accounts).
Third-party terms. Your use of any channel, AI provider, or connected service is also governed by that third party's terms. Diali is not responsible for third-party services, their availability, their pricing, or their acts and omissions. SMS and voice features, where offered, run on the carrier account you connect (Twilio, Telnyx, or Plivo) and are subject to that carrier's terms; your use of them must comply with applicable telecom and anti-spam laws (see Acceptable use).
Subscriptions & billing
Subscription model
The Service is sold as a per-Assistant subscription: a plan size plus any optional paid add-ons (such as Extra Storage). Current plan prices are shown at checkout and on the pricing page. Subscriptions are billed monthly, semi-annually, or annually, as offered at checkout. Payments are processed by Stripe. Prices are in US dollars.
Your first payment
Your subscription starts when you complete checkout. Before you pay, we show you the plan you have selected, the billing term, and the exact amount due; your card is charged at that point and your Assistant is then provisioned. Your plan includes an allowance of Diali AI credits for the paid period (see Diali AI credits). If Diali is not for you, your first payment is covered by the 3-day money-back guarantee in our Refund and Cancellation Policy.
Auto-renewal, cancellation & changes
Subscriptions automatically renew for the same period until cancelled; you authorise us (via Stripe) to charge your payment method at each renewal, and we will notify you in advance where the law requires it. You may cancel at any time from the dashboard; cancellation takes effect at the end of the current billing period, and you retain access until then. We may change prices, including managed-AI pricing, with advance notice; changes apply from your next renewal, and you may cancel before they take effect. Fees are exclusive of taxes unless stated at checkout, and you are responsible for applicable taxes. If a payment fails, we may retry, notify you, and suspend or terminate the Assistant after a dunning period.
Refunds
Disputes and chargebacks
If you believe a charge is incorrect, please contact support@diali.ai first. Where a chargeback is filed on a charge you authorised, we may suspend the affected account while the dispute is resolved and may recover from you any fees the payment processor charges us, to the extent the law permits. Nothing here limits your right to dispute a charge you genuinely did not authorise.
Diali AI credits (managed inference)
This section applies only if you use Diali AI (managed) mode.
- What credits are. Credits are a prepaid balance used to pay for AI inference we deliver using our own provider capacity. 1 credit = US$0.001. Credits are a limited licence to consume Service capacity: not money, not a deposit, and not a stored-value or gift-card instrument. They have no value outside the Service and cannot be transferred, sold, or exchanged for cash.
- How you get them. Your plan includes an allowance of credits granted on each successful subscription payment for that service period. You may buy additional credits ("top-ups") at any time.
- What you are charged. Managed AI usage is metered per request against the model's published managed rate, which reflects the underlying provider's price plus Diali's margin. Rates for each available model are shown in the dashboard before you select it.
- Metering. We record, per request, the model used, token counts, computed cost, and status. Metering does not record the content of your prompts or the AI's responses (see Privacy Policy). Your usage ledger is visible in the dashboard.
- Expiry. Plan-included credits expire at the end of the service period they were granted for and do not roll over. Purchased top-up credits expire 12 months after purchase.
- Running out. When your balance is exhausted, managed AI requests stop being served and your Assistant will report that it cannot reach a model. A small overdraft allowance may let a request in flight complete. Your Assistant is not deleted and your subscription continues. Top up to resume.
- Not refundable. Credits are non-refundable except as set out in the Refund Policy.
- Suspension of the credit balance. We may freeze a wallet where we reasonably suspect fraud, payment reversal, or abuse of the Service, and will tell you why.
- Fair use. Managed mode is for operating your own Assistant. You may not resell inference, proxy third parties' traffic through your Assistant, or use managed access as a general-purpose API gateway.
Integrations & connected accounts
You may connect third-party accounts so your Assistant can act in them for you.
- How it works. You authorise the connection with the third party directly. The resulting access tokens are held in our integrations vault. Diali does not receive or store your third-party passwords.
- What you are authorising. A connected Assistant can act in that account on your behalf (for example reading, creating, or modifying data) within the permissions you grant. You are responsible for the scope you grant and for what your Assistant does with it. Grant the narrowest access that meets your need.
- Your responsibility. You must have the right to connect the account and to let an automated agent act in it, including under your employer's or the third party's policies. Some providers restrict automated access.
- Disconnecting. You may disconnect an integration at any time from the dashboard, which revokes Diali's stored access. Revoking access at the provider also works. Disconnecting does not undo actions already taken.
- Availability. Integrations depend on third-party APIs and may change or break without notice. They are provided without warranty and may be withdrawn.
Acceptable use
You agree not to use the Service, or configure an Assistant, to:
- break the law or infringe others' rights (including IP, privacy, and data-protection rights);
- send spam or unlawful marketing, or violate anti-spam/telecom rules (including via SMS/voice);
- harass, threaten, or harm others, or generate illegal content (including CSAM) or content that exploits or endangers minors;
- distribute malware, attempt to breach security, probe, or disrupt the Service or its infrastructure;
- engage in fraud, or circumvent usage, billing, or access controls (including creating accounts by automated means, evading a suspension or termination, or circumventing credit metering);
- resell or redistribute managed AI inference, or proxy third parties' traffic through the Service;
- reverse engineer, decompile, or disassemble the Service, or scrape or harvest data from it by automated means, except to the extent a restriction is prohibited by law or the component is open-source software governed by its own licence;
- resell, sublicense, or provide the Service to third parties as if it were your own; or
- use the Service in a way that violates your AI provider's, a connected service's, or any channel's terms.
We may investigate suspected violations and suspend or terminate accounts that breach this section.
Automated calls and messaging (SMS/voice)
Export controls and sanctions
Diali is a United States company and the Service is subject to US export-control and economic-sanctions laws. You represent that you are not located in, and will not use the Service from or on behalf of anyone in, a country or region subject to comprehensive US sanctions, and that you are not on any US government restricted-party or sanctions list. You agree not to use or export the Service in violation of applicable export-control or sanctions laws.
Prohibited AI practices
You may not configure, direct, or use an Assistant to carry out any practice prohibited under applicable AI law, including the practices banned by Article 5 of the EU AI Act, for example: subliminal, manipulative, or deceptive techniques that materially distort a person's behaviour; exploiting vulnerabilities based on age, disability, or socio-economic situation; social scoring; or unlawful biometric categorisation or emotion recognition. You are also responsible for not configuring an Assistant for any "high-risk" use (such as decisions about employment, credit, education, or access to essential services) unless you ensure the applicable legal requirements for that use are met.
AI transparency and your responsibilities
If you use an Assistant for professional or business purposes, you may be a "deployer" (or the equivalent) under the EU AI Act or similar laws, with your own legal obligations. You are responsible for meeting them and for how you configure and direct your Assistant.
Content, data & IP
Your data is yours. You retain all rights to the configuration, keys, and content you provide, and grant Diali a limited licence to host, process, and transmit that data solely to operate and support the Service.
Diali's intellectual property. The Service (including the platform, website, dashboards, documentation, and the Diali name and branding) is owned by Diali or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own use in accordance with these Terms. No other rights are granted. Parts of the Service (including the Assistant runtimes) incorporate open-source software; open-source components are governed by their own licences, which control over these Terms for those components. Nothing in these Terms limits your rights under them.
Feedback. If you send us ideas, suggestions, or feedback, you grant Diali a perpetual, irrevocable, royalty-free licence to use them without restriction or compensation. Feedback never includes your personal data or Assistant content. Our handling of personal data is described in the Privacy Policy; Diali does not read your conversations or use them to train models, and messages in your messaging apps are not stored by Diali; dashboard chat history and messages between your Assistants are stored so you can see your history, as described there. You may delete an Assistant or your account at any time; on closure we delete your data as described in the Privacy Policy (subject to legal retention).
Service availability
We target 99.9% monthly availability, but we do not guarantee uninterrupted service. We may perform maintenance and may modify, suspend, or discontinue features.
Dependence on third parties. Managed AI inference, channels, and integrations depend on third-party providers. Their outages, rate limits, model deprecations, and policy changes can affect your Assistant, and are outside our control.
Beta and preview features. We may offer features labelled beta, preview, or experimental. They are provided for evaluation, may change or be withdrawn at any time, may be less reliable than the rest of the Service, and are excluded from any availability target.
Suspension & termination
You may cancel at any time (see Subscriptions & billing). We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to Diali, other users, or third parties. Where practical and lawful, we will give notice and an opportunity to cure.
On termination, your right to use the Service ends, Assistants are de-provisioned, connected integrations are disconnected, and unused credits are forfeit except as provided in the Refund Policy. Sections that by their nature should survive (e.g. fees owed, disclaimers, limitation of liability, indemnity, governing law) survive termination.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED. AI OUTPUT IS NOT PROFESSIONAL ADVICE (LEGAL, MEDICAL, FINANCIAL, OR OTHERWISE).
Nothing in these Terms excludes liability that cannot be excluded under applicable law, including mandatory consumer-protection rights.
Limitation of liability
To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill; and Diali's total aggregate liability arising out of or relating to the Service is limited to the fees you paid to Diali in the three (3) months immediately before the event giving rise to the claim.
Nothing in these Terms excludes or limits either party's liability for: (a) fraud or wilful misconduct; (b) death or personal injury caused by negligence; (c) gross negligence, where applicable law does not permit it to be limited; or (d) any other liability that cannot be excluded or limited under applicable law, including your mandatory rights as a consumer.
Indemnification
You agree to indemnify and hold Diali harmless from third-party claims, losses, and expenses (including reasonable legal fees) arising from your unlawful use of the Service, your breach of these Terms (including the Acceptable use section), actions your Assistant takes in a connected account you authorised, or your violation of third-party rights. If you are a consumer, this obligation applies only to the extent permitted by the mandatory law of your country of residence.
Changes to these Terms
We may update these Terms. For material changes, we will provide notice (e.g. by email or in-Service) before they take effect. Continued use after the effective date means you accept the updated Terms. If you don't agree, stop using the Service and cancel.
Governing law & disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules.
Venue. For disputes not resolved informally, you and Diali agree to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA. There is no mandatory arbitration and no class-action waiver in these Terms.
Consumer protections preserved. If you are a consumer in the EU, UK, or another jurisdiction whose law grants you mandatory protections, nothing in this section deprives you of those protections or of your right to bring proceedings in the courts of your country of residence, or to rely on the mandatory law of that country.
Informal resolution first. Before filing, please contact us at hello@diali.ai and give us 30 days to resolve it. Most disputes are billing questions we can simply fix.
General
- Entire agreement. These Terms, the Privacy Policy, and the Refund and Cancellation Policy are the entire agreement between you and Diali regarding the Service.
- Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
- Severability. If any provision is unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver.
- Force majeure. Neither party is liable for delays or failures due to events beyond reasonable control.
- Notices. We may give notice by email or in-Service; you may reach us at the addresses below.
